1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and InferLayer AI, Inc. ("InferLayer," "we," "us"). By accessing or using the InferLayer service, API, dashboard, or any related software (collectively, the "Service"), you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
Where you and InferLayer have signed a separate written agreement covering the Service, that agreement controls to the extent it conflicts with these Terms.
2. The Service
InferLayer provides an OpenAI-compatible LLM gateway. The Service routes inference requests across local and frontier language models based on request complexity, applies a semantic cache, enforces per-tenant spend controls, and records a tamper-evident audit log. The Service is designed as a drop-in backend for applications that already speak the OpenAI API.
We may add, modify, or remove features over time. We will not make material backward-incompatible changes to a pinned minor version without reasonable notice.
3. Accounts and API keys
Access to the Service is authenticated with API keys we issue to you. You are responsible for keeping your keys confidential and for all activity that occurs under them. API keys are shown once at creation and are not recoverable; notify us promptly at contact@inferlayer.ai if you believe a key has been compromised, and we will revoke it.
4. Acceptable use
You agree not to use the Service to:
- generate, store, or transmit content that is illegal under applicable law, or that infringes the rights of others;
- abuse, overload, probe, or attempt to circumvent the Service's authentication, rate limits, multi-tenant isolation, or spend controls;
- attempt to access data, prompts, responses, or accounts belonging to another tenant;
- resell, sublicense, or provide the Service to third parties except under a separate written reseller or partner contract with InferLayer; or
- use the Service in violation of the acceptable-use or usage policies of any downstream model provider (including OpenAI and Anthropic) when your requests are routed to those providers.
You are responsible for the content of your prompts and for your use of model outputs. The Service does not moderate or filter model outputs; output safety and legal compliance are your responsibility.
5. Fees
Fees, usage metering, and billing terms are as set out in your order or separate agreement with InferLayer. Usage is metered by token counts and request volume. Unless otherwise agreed, fees are non-refundable and exclude taxes.
6. Warranties and disclaimer
The Service is provided "as is" and "as available." To the maximum extent permitted by law, InferLayer disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that model outputs will be accurate or suitable for any purpose.
7. Limitation of liability
To the maximum extent permitted by law, InferLayer's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees you paid to InferLayer in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event will InferLayer be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility of such damages.
8. Term and termination
These Terms remain in effect while you use the Service. Either party may terminate for convenience on thirty (30) days' written notice. We may suspend or terminate access immediately if you materially breach these Terms, including the acceptable-use provisions, or where required to protect the Service or other customers. On termination, your right to use the Service ends; sections that by their nature should survive (including fees accrued, disclaimers, limitation of liability, and governing law) will survive.
9. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.
10. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
